Gathering Due Diligence Materials
Gathering information required to value your company and provide information for prospective buyers to make informed decisions is a critical step in selling your company. With your help, Sell Side Quarterbacks will assemble a detailed history of your company including but not limited to:
Three years of monthly historical I/S, B/S, Statement of Cash Flow reports
Fixed asset register
Schedule of Intellectual property
All HR related material including a schedule of employees by name, title, start date, compensation. A copy of all Form I-9 paperwork, HR manuals and policies, benefits, 401(k) and other profit sharing plans, employee training, employee workplace incidents and any unionization efforts as a starting point.
Tax Returns for prior three years
Schedule of adjustments to the G/L
Audits or outside accountant opinions or QOE reports
All legal agreements including leases, customer contracts, NDAs, and other relevant agreements
Corporate minutes and copy of all authorized and issued shares
Schedule of customers detailing revenue by product, gross margins and a profile of each customer
Schedule of any regulatory or compliance issues from the prior three years
All this and more will be reviewed, tested and woven into a common fabric for the virtual data room, for initial due diligence portion of the data room we will redact sensitive information to minimize the risk of any information leaking to customers, competitors or others.
We structure the virtual data room into two rooms, one for initial due diligence and a second room for detailed due diligence where the buyer with whom you choose to negotiate a definitive sales agreement will have full access to unredacted documents.
