Getting your company ready for sale is critical to maximizing the value of your company to the buyer of choice. This process can take anywhere from a couple of months up to a couple of years depending on the amount of work required and your motivation to sell your company. The following paragraphs outlines the type of work that takes place during the consulting phase with each stage of the project outlined in an agreement between the company and Sell Side Quarterbacks defining what is to be accomplished and the fixed fee price for completing the work.
Pre-sale consulting - We take pride in getting to know the management team and the company’s strengths and weaknesses from our initial meetings and through weekly conference calls. For a few months or in some cases over two years, we provide advice and insight on steps management can take to enhance the ultimate value of the enterprise ranging from upgrading the management team through training or recruiting to dealing with difficult customer and supplier issues. A key part of the pre-sale consulting is identifying what you, the owner, is looking for in an outcome in terms of the ultimate sale price, your future involvement in the business if any and how your employees will be treated by the acquirer.
Preparing the Confidential Information Memorandum (CIM) and Virtual Data Room - The CIM and associated teasers are critical to marketing the firm to the widest audience possible. Preparing the CIM is an iterative process with company management to tell the best story possible, building on financial reports and a narrative highlighting your processes, systems, employees and customers without revealing enough information for a reader to identify the firm up for sale. We will build a secure virtual data room repository to hold all of the documents and information needed for a prospective buyer to evaluate how well your company fits their criteria and only allow access to those few prospective buyers who we jointly agree are worthy suitors.
